Terms of Business
Last updated: 6 November 2026
These terms set out how we work together. They apply to any work Toolsmith Software carries out for you, alongside the specific quote and scope we agree for your project.
1.Who we are
Toolsmith Software is a trading name of a UK sole trader ("we", "us", "our"). You can contact us at [email protected]; our correspondence address is available on request.
2.What we do
We design and build websites, web applications and automations. Exactly what we'll deliver for you is set out in the written quote and scope we agree before work starts.
3.Quotes and pricing
We agree a fixed price for each project on a free scoping call, so you know the cost before we start — there is no hourly meter. Quotes are valid for 30 days. Any work beyond the agreed scope is quoted and agreed separately before we do it. Prices are in pounds sterling.
4.Two ways to pay
You can either buy your project outright, or pay monthly on a subscription that bundles the build, hosting, support and small changes. The option that applies to you is the one stated in your quote.
5.Proof of concept
Where practical, we show you a working proof of concept before you pay, so you can see it solving the real problem first. If it isn't worth building, we'll tell you.
6.Ownership
- Bought outright: once you have paid in full, the code and its intellectual property are yours. You can host it anywhere and hand it to another developer.
- On a subscription: we own and maintain the work while you subscribe, and license it to you for your use. You can buy it out to own it outright at any time; the buy-out figure accounts for any build cost not yet covered by your payments.
You keep ownership of any content, branding or data you provide to us.
7.Payment terms
Invoices are due within the period stated on them (usually 14 days). We may charge statutory interest and reasonable costs on late payments under the Late Payment of Commercial Debts (Interest) Act 1998.
8.After launch
Anything that isn't working as agreed is fixed free of charge for the first 30 days after delivery. Beyond that, an optional support plan covers hosting, monitoring, fixes and small changes; otherwise you can ask us to help as and when you need it.
9.Subscriptions and cancellation
Subscriptions run for a minimum of 12 months and then continue on a rolling monthly basis until cancelled with reasonable notice. If a subscription ends and you have not bought the work out, the hosting and service we provide for it will stop. You can buy the work out to keep it at any time (see clause 6).
10.Your responsibilities
To deliver good work on time we'll need you to give us the information, content, access and feedback we ask for, reasonably promptly. Delays in these may affect timelines.
11.Liability
We will carry out our work with reasonable care and skill. To the fullest extent permitted by law, our total liability for any claim arising from our work is limited to the fees you have paid us for that project, and we are not liable for indirect or consequential losses, or for loss of profit, data or business. Nothing in these terms limits liability that cannot legally be limited (such as for death or personal injury caused by negligence, or for fraud).
12.Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
